Liberty Telecoms Holdings, Inc.

 

The Company was organized under the laws of the Republic of the Philippines and registered with the Securities and Exchange Commission on January 14, 1994.  It was incorporated primarily to be the holding company for wi-tribe Telecoms, Inc. (formerly Liberty Broadcasting Network, Inc.) and for Skyphone Logistics, Inc.

The common shares of the Company were listed and traded on the Philippine Stock Exchange beginning October 17, 1994. 

The description of the businesses of its subsidiaries is below:

 

wi-tribe Telecoms, Inc.

  • wi-tribe Telecoms, Inc. (WTI) was organized under the laws of the Republic of the Philippines and registered with the Securities and Exchange Commission on November 18, 1958.   Its primary purpose is to engage in the business of constructing, erecting, establishing, maintaining, servicing and operating for commercial purposes and in the public interest, subject to the terms of its franchise and certificates of public convenience, radio for international and domestic communications of all types and services.

 

  • WTI holds a congressional franchise under Republic Act No. 1553 approved on June 16, 1956, and amended by Republic Act Nos. 4154 and 10183 which were approved on June 20, 1964 and September 21, 2012, respectively. The franchise, which is valid until 2037, grants WTI the right to construct, maintain and operate wire and/or wireless telecommunications systems throughout the Philippines and between the Philippines and other countries. WTI has also secured from the National Telecommunications Commission, Certificates of Public Convenience and Necessity to offer and operate various communication services. Additionally, it has obtained radio station licenses for its numerous base stations all over the Philippines.

     

Skyphone Logistics, Inc.

 

  • Skyphone Logistics, Inc. (SLI) was organized under the laws of the Republic of the Philippines and registered with the Securities and Exchange Commission on July 9, 2001. Its primary purpose is to acquire, sell, dispose, trade, distribute, repair and maintain telecommunication products, and its secondary purpose is to perform other tasks to effectively attain its primary mandate, such as but not limited to the following: buying, selling and dealing in real property and to own, lease, operate warehouse for the purpose of storing, buying or selling all kinds of products, including communications equipment and their installations supply for the communications equipment raw materials and any other merchandise dealt with by SLI.

    Skyphone Logistics, Inc. was incorporated to provide the marketing, distribution and logistics support services required by WTI for WTI’s various services nationwide.
